Terms of Service

1. Service Definitions

Secure Digital Vault Services provide encrypted cloud storage with multi-factor authentication. ‘Content’ means all files uploaded by user. ‘Service’ includes API access, CLI tools, and web dashboard.

2. Acceptable Use Policy

Users must not: (a) upload malicious code; (b) attempt unauthorized access; (c) exceed rate limits (1000 API calls/min); (d) share credentials. Violations may result in immediate suspension under AIU clause.

3. Data Ownership & License

User retains all rights to Content. We obtain a limited license to process Content solely to provide Service. We do not access decryption keys; no employee can view plaintext content.

4. Service Level Agreement (SLA)

We guarantee 99.999% monthly uptime (excluding scheduled maintenance notified 72h in advance). Credits: 5% for <99.9%, 10% for <99%. Maintenance windows: Sundays 02:00-04:00 UTC.

5. Limitation of Liability

Aggregate liability capped at 12 months’ subscription fees. No liability for: consequential damages, loss of profits, or data reconstruction costs. Users must maintain own offline backups.

6. Indemnification

User indemnifies us against claims arising from illegal content or AUP violations. We indemnify against claims of unauthorized data access due to our gross negligence.

7. Termination

Either party may terminate with 30 days’ notice. Upon termination, user may export data within 60 days. We permanently erase data after 90 days.
